IEDOM's organisation

IEDOM is a simplified joint-stock company that is wholly owned by the Banque de France.

IEDOM acts on behalf of, and under the authority of, the Banque de France. It is responsible for carrying out operations related to the European System of Central Banks’ (ESCB) missions in the overseas collectivities under its jurisdiction.

The statutes of IEDOM are set out in Book VII of the French Monetary and Financial Code relating to overseas territories (Articles L. 721-7 et seq. and R. 721-3 et seq.).

The presidency

The institution is led by a President appointed by the Governor of the Banque de France. The current President, Alexandre Gautier, was appointed in April 2023. He is supported in his duties by a Director and a Deputy Director.

The General Council

The General Council is chaired by the Governor of the Banque de France or their representative. It is also composed of the President of the company, two Directors General of the Banque de France (or their representatives), and a staff representative (or their alternate).

The General Council is consulted by the President of the company for advisory opinions on the following matters: amendments to the company’s purpose, approval of annual accounts and allocation of profits, increase, reduction or redemption of share capital, adoption or modification of any statutory clauses, presentation of the activity report, and presentation of the strategic orientations.

The General Council also approves IEDOM’s budget.

Oversight bodies

Internal control

IEDOM is integrated into the internal control system and permanent control activity report of the Banque de France. The IEDOM Internal Control Committee reports to IEDOM’s General Management every six months on work carried out in connection with permanent and periodic controls, recommendations from internal and external audits, operational risk mapping and incident monitoring. The General Inspectorate of the Banque de France serves as IEDOM’s internal audit body.

External control

Historically, IEDOM’s accounts were audited by a panel of statutory auditors who were legally equivalent to those of the Banque de France. However, the law of 13 July 2023 modified this arrangement, placing IEDOM under standard corporate law. As of the 2024 financial year, IEDOM’s accounts have been audited by a statutory auditor appointed by the institution itself.

IEDOM is also subject to audits by the French Court of Auditors (Cour des Comptes) and the General Inspectorate of Finance (Inspection Générale des Finances).

Organisations at headquarters, in offices and in committees

IEDOM’s headquarters are located in Paris and are shared with the Institut d’émission d’outre-mer (IEOM), which is the central bank for the French Pacific collectivities.
IEDOM also has offices in Guadeloupe, Martinique, French Guiana, Réunion, Mayotte and Saint-Pierre-et-Miquelon.

The Executive Committee, notably composed of the President, Director and Deputy Director, prepares decisions for the IEDOM Presidency on cross-functional matters and finalises files presented to the IEDOM General Council.

The Management Committee is made up of the President and General Management members, division heads at headquarters in charge of the various business lines and office directors. This committee serves as a forum for information and discussion on strategy, as well as on the overall management of the Institute’s activities and offices.

Each agency has an Agency Advisory Committee (Comité Consultatif d’Agence — CCA), composed of members representing various sectors of the local economy. The committee meets periodically to assess the economic situation across different sectors.

In addition, meetings are held with credit institutions and similar organisations to address current financial issues.
